Case Studies - Technology Transfer

  • Engaged by Principal of group of financial investors in investigating, performing due diligence, and in negotiating, drafting, and coordinating legal counsel for specific industry acquisitions and divestitures.

  • Performed due diligence and feasibility study for significant technology company trying to expand its markets outside of the East Coast of the USA into the Southwest USA and Canada by locating and acquiring sales and manufacturing plants in the targeted market areas; resulting in one successful “go” and two “no-go” decisions - with the “go” company being a subsidiary of a foreign company.

  • Retained by orthopedic surgeon with patented revolutionary technology to arthroscopically repair and replace major joints (i.e. knee, hip, elbow, shoulder, etc.) to recover from prior unsuccessful funding attempt. Developed segmented licensing approach to pursuing R&D funding as well as for raising working capital to take stand-alone segments of the technology to market.

  • Performed due diligence for small business investor group who sold their companies and wanted to re-invest in a manufacturing or small business service company; also performed technical, organizational, and marketing due diligence studies for local venture capitalists and investment broker firms on a project or retainer basis.

  • Working with inventor of a laser cane for vision impaired people successfully assisted in re-acquisition of technology and company from a failed buy-out of his original product design to re-introduce to market. Drafted Ben Franklin Technology Partners investment proposal for $67,000 which resulted in a $150,000 award ($83,000 more than requested - very rarely done). Authored SBIR Phase II proposal for laser guided wheelchair and drafted licensing and distribution agreements leading to an international marketing program to Greece, Saudi Arabia, Japan, and Australia.

  • Authored successful Ben Franklin proposal for technology grant regarding a proprietary method of cleaning/coating shopping carts; later negotiated and drafted exclusive strategic manufacturing agreement between that company and a key supplier and a major customer.

  • Worked with local investment banking firm to draft successful business plan resulting in significant federal and private funding ($1,000,000+) being received by a cancer-cure pharmaceutical start-up company allowing them to proceed with clinical testing and commercialization of break-through cancer treatment process; also performed technology evaluation and feasibility study.

  • Drafted detailed business plan and performed marketing study of new semiconductor wafer product market for existing “old technology” company which successfully resulted in receipt of significant state (PA) and private (international) funds. Assisted the owner in manning a booth at SemiCon West in San Francisco and in preparing for other international trade shows in Japan, Korea, Singapore and Hong Kong resulting in successful distribution agreements and financial investments.

  • Authored and edited successful $450,000 US Trade & Development Authority proposal by local electronics engineering and manufacturing firm which resulted in the award of $2,500,000+ World Bank energy/environmental contracts in Irkutsk and Novosibisk (previous Soviet Union). Also authored matching Ben Franklin Technology Partnership (PA) award of $110,000 long-term loan.

  • Worked with Owners of $15,000,000 specialty marine and exotic animal feed manufacturer to develop strategic international licensing plan for creating a world-wide manufacturing group of companies and licensees in Belize, Panama, India, China, Equador, Russia for ultra-high quality aquatic feed manufacture.

  • Developed theory of up/down proprietary rights protection of Commercial Off The Shelf (COTS) in lengthy (successful) negotiations of more than $5,000,0000 of additional business for local computer peripherals designer/manufacturer which then survived a challenge by the prime contractor, Lockheed Marietta Corp., in bidding the follow-on $5,000,000 contract as a competitive procurement. The client was successfully awarded the follow-on order on a negotiated price and delivery basis, while maintaining its proprietary rights and exclusivity in the product line.

  • Developed business financing and marketing plan for high-technology start-up company specializing in the development of fool-proof coin/token counter for the wagering industry. Obtained a preliminary US DA Rural Industrial Development Loan Guarantee commitment, only to be unable to find an appropriate rural site suitable to the inventors. Technology is currently in commercial production.

  • Drafted (as contract consultant for R&D company) four successful SBIR and US Department of Energy Co-Operative Agreement proposals to Morgantown Technology Center and Pittsburgh Technology Center, featuring high technology technologies for the combustion of coal, waste biofuels, and oil.

  • Successfully negotiated multi-level technology licences for multi-environment communications remote operations data scrambler and transmitter developed by local technology company with a multi-billion dollar manufacturing company after owner’s prior unsuccessful efforts.

  • Acted as interim President of a start-up subsidiary of a major “Beltway R&D Company” to commercialize DOE-funded proprietary black liquor incineration technology as a commercial product; participated in the recruiting and hiring of ultimate President.
